The Sell Side Process

1. Sharing insight

Initially, we have a discussion with you to gain an understanding of the business and develop likely valuation parameters.

2. Develop landscape

Along with our clients, develop the buyer and investor landscape, combining our deep knowledge of the market and our global network.

3. Preparing information

Preparation of the information memorandum, financial models and other marketing material is a key phase. We work closely with clients to build compelling documents that help attract buyer and investor interest.

4. Go to market

We manage the process of going out to market, having initial conversations with potential buyers and investors, building out a comprehensive list of interested parties.

5. Engagement with parties

Advising and organising meetings with interested parties, ensuring our clients are fully prepared for each meeting.

6. Negotiations

Negotiate indicative offers.

7. Due diligence

Support and guidance through out the due diligence process. Managing what can be several parties at this time to ensure a clear focus on the transaction timeline to completion.

8. Negotiations

Contractual negotiations, particularly where there are mechanisms in the transaction such as earn outs, working capital, cash/ indebtedness. We work with your selected lawyers and tax advisors to ensure the terms of the deal are clear and a successful outcome is reached.
